License terms
LICENSE TERMS WORKtest Ltd., established Prazska 810/16, 102 00 Prague 10-Hostivar, Reg 26885093, registered in the Commercial Register kept by Regional Court in Prague, Section C, File 155398 (hereinafter referred to as "provider"), is the holder of unlimited non-exclusive license to the computer WORKTest program (hereinafter also referred to as "Software"). SOFTWARE SPECIFICATION WORKtest a computer program created for the purpose of detecting and measuring professional credit rating (quality) and professional orientation of the nominees, which treats individual performance, interpersonal and personal conditions rated the conditions of new trends of European standards for the management methods of use. The software is a database dictionary jobs. The software is a help guidance to its control. The software is constantly updated and supplemented. CLOSURE LICENSE AGREEMENT The provider shall provide purchasers the right to use software under the license agreement. These license terms constitute a public proposal for the conclusion of license agreements within the meaning of the Commercial Code. License Agreement will be concluded with each person who accepts this proposal provided a way. License agreement is concluded with the acquirer at the moment when the provider received good acceptance of the proposal through to a designated web interface accessible at www.worktest.cz. Acceptance means the service altogether and truthfully completed registration form with the identification information of the assignee as a party to the license agreement that through the web interface as well as assent to these license terms, which are an integral part of the license agreement. Conclusion of license agreements by licensees will be confirmed without undue delay after receipt of acceptance of service. OBJECT OF THE LICENSE AGREEMENT The license agreement grants the purchaser the right to use the software to the extent and manner set forth by the licensing conditions. The licensee undertakes to pay the salaries of providers and under the conditions laid down by these license terms and license agreement and use the software in the agreed scope and agreed manner. ISSUE OF SOFTWARE Software will be made available to the acquirer on-line at www.worktest.cz, through the alphanumeric identifier (hereafter referred to as "key"), which together with the purchaser receives the invoice, which will be activated after payment of service fees. LICENSE The license shall be granted as a non-exclusive. The licensee is not obliged to use the license. LICENSE RESTRICTIONS The licensee is entitled to use the software to the extent limited to the amount paid in a manner consistent with the purpose of credit software. The territorial scope of the license is not restricted. Date Range license is limited to one year from the grant of a license. Not taken within that period, the purchaser paid credits, his claim to the use of software in the scope of lapses, unless the parties have agreed otherwise. LIMITATIONS The licensee The licensee is not entitled in any event, modify or otherwise alter the software without the prior consent of the provider, even in the case of an adjustment or change, which can be expected that the provider is due to the circumstances of use consented. Transferee shall not be entitled to make copies of software or parts of any means and any form. The licensee is not authorized to make decompile software in order to create another, competing software. Transferee shall not be entitled to a third party key to access the software. If the key third party shall provide, shall be borne by the purchaser all the associated risks and is not entitled to reimbursement of funds from a removal credits for a third party. OBLIGATIONS OF The provider undertakes to provide the requirement of the acquirer in the case of training on the use of software. Hours, date and place of training will be in this case determined by agreement of the parties. The price of training is not part of remuneration and will be borne by the assignee of the current price by the provider. REMUNERATION Remuneration is set at 2000, - CZK per 1 credit. Credit is an entitlement acquirer to use the individual sections of the software range. Credits are deducted from the account acquirer actually made for action in the software. The deduction of credit when the acquirer is always aware of the use of software in advance before carrying out the action. The licensee is entitled under the license agreement effective doobjedn�vat through the credits for that purpose section of software. TERMS OF PAYMENT The remuneration will be borne by the acquirer prior to the proforma invoice sent by the acquirer in electronic form on the e-mail address specified in the registration form. Advance invoice will be issued by an amount corresponding to the number of credits required by the acquirer. The acquirer issue electronic tax document which is available after logging into the software. The paper is a tax document sent to the purchaser only if the request acquirer. Liability Provider is not responsible for the suspension or restriction of access to software, if such an interruption caused by circumstances within the meaning of negative liability Commercial Code, as amended. The provider is not liable for damage caused by improper use of software. The licensee is required to reimburse providers of loss suffered due to copyright infringement by using software provider assignee to the extent or manner that is inconsistent with these license terms. PODLICENCE The licensee is not entitled to privileges that are part of the license granted in whole or in part, to third parties. REFERRALS TO THE LICENSE The licensee is entitled to assign the license, including the assignment of sales within the company or the sale of part of the business constituting a separate organizational component, only with the prior written consent of the provider. The rights and dispute settlement Legal relations between the parties based license agreement specifically modified it shall be governed by the provisions of Act No. 121/2000 Coll., Copyright, rights related to copyright and amending certain laws (Copyright Act), as amended. Any disputes between the parties related to the license agreement will be addressed under the law of the Czech Republic. AMENDMENTS TO LICENSE AGREEMENT License Agreement may be amended only in the form of written amendments agreed by both parties. The Contracting Parties undertake, without undue delay inform each other of changes in contact or identification data. I agree with License terms and confirm my order.
